1. Acceptance of Terms
By downloading, accessing, or using the kordi mobile application ("App," "Service," or "kordi"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and RALLYO CONCEPTS LLC ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms. Nothing in these Terms limits or waives any rights you may have under applicable state or federal privacy laws.
2. Eligibility
To use kordi, you must:
- Be at least 16 years of age (or the minimum age required in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
- Provide accurate and complete registration information
Users between 16 and 18 years of age must have parental or guardian consent to use certain features of the Service.
3. Account Registration and Responsibilities
3.1 Account Creation
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Immediately notify us of any unauthorized access to your account
3.2 Account Security
You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 One Account Per User
Each user may maintain only one active kordi account. Creating multiple accounts may result in termination of all associated accounts.
4. Points Economy and Rewards
4.1 kordi points
kordi points ("Points") are digital rewards that can be earned or purchased through the platform. Points:
- Have no monetary or cash value
- Cannot be exchanged for legal tender, cryptocurrency, or other monetary instruments
- Are non-transferable outside the kordi platform except through designated gifting features
- May be used only for in-app purchases, perks, staking, and features as described in the App
- Are not a stored-value instrument, gift card, or prepaid access product
4.2 Earning Points
You may earn Points by:
- Attending events you committed to
- Completing personal goals and milestones
- Maintaining high reliability scores
- Participating in community activities and challenges
- Referring new users who become active participants
- Checking in at participating Award Partner businesses
4.3 Purchasing Points
You may purchase Points through the following channels:
- In-App Purchases: Available on iOS via Apple In-App Purchase and on Android via Google Play Billing, in packages as displayed in the App. In-app purchases are subject to the respective platform's terms of service and pricing.
- Website Purchases: Available at kordiave.com, processed by Stripe. Website pricing may differ from in-app pricing.
- All Point purchases are final and non-refundable, regardless of purchase channel
- Purchased Points have the same value and usage rights as earned Points
- Purchase limits may apply to prevent abuse (e.g., maximum $100/day)
- A 24-hour waiting period may apply before purchased Points can be staked
4.4 Spending Points
Points may be redeemed for:
- In-app purchases (kordinator customization items)
- Perks and discounts at participating Perk Partner businesses
- Staking on your own goals (self-accountability)
- Staking on friends' goals (support)
- Gifting to other users
- Priority event placement and other platform features
4.5 Business Perk Redemptions
When you redeem Points at a participating business:
- The perk is fulfilled by the business, not by kordi
- kordi facilitates the transaction but does not guarantee the business's performance
- Redeemed Points are recycled within the platform (80% to business, 20% burned)
- Disputes regarding perks should be addressed with the business directly
4.6 Goal Staking (Rally Pledges)
Goal staking on kordi operates as a kordi pledge, not a wager or bet. By staking Points on a goal, you acknowledge and agree that:
- Staked Points are held in escrow by kordi until the goal is resolved
- A 3% platform fee applies to the total stake pool upon resolution
- If the goal is achieved, the goal owner receives the pool (minus fees)
- If the goal fails, the goal owner's staked Points are donated to the owner's designated charitable organization (minus fees); supporters receive proportional partial refunds (minus fees)
- Goal verification may require peer attestation for staked goals
- The outcome of any goal is determined solely by the goal owner's skill, effort, and adherence to the plan; kordi staking entails no element of chance
- Supporter contributions are conditional donations of support, not investments; supporters do not receive a return on their contributions and cannot profit from staking
- kordi is not "the house" and does not retain lost stakes; failed stakes are directed to registered charitable organizations
4.7 Points Expiration and Forfeiture
- Points do not expire while your account remains active
- Accounts inactive for 24 consecutive months may have Points expire with prior notice
- Points are forfeited upon account termination
- We reserve the right to adjust Points balances in cases of fraud, abuse, or technical errors
- No compensation is provided for expired, forfeited, or adjusted Points
4.8 No Refunds or Cash Exchange
- All Point purchases are final and non-refundable
- Points cannot be exchanged, converted, or redeemed for cash, currency, or any monetary equivalent
- Points have no value outside the kordi platform
- Upon account termination, unused Points are forfeited with no compensation
4.9 No Guarantee of Value
- The availability of redemption options may change at any time
- We do not guarantee the continued availability of any specific perks, discounts, or features
- Point earning rates, redemption values, and platform fees may be modified with reasonable notice
- We reserve the right to modify, suspend, or discontinue the Points program at any time
4.10 Business Point Purchases
Businesses may purchase Points through the kordi business portal (business.kordiave.com):
- Business purchases are processed via Stripe and are final and non-refundable
- Points are credited to the business's wallet for distribution as perks and rewards to consumers
- Only verified business owners may initiate purchases through the business portal
- Business point purchases are B2B operational credits, separate from and not subject to in-app purchase terms
- Businesses are responsible for their use of purchased Points in compliance with applicable laws
4.11 Pre-Launch Early Access (Day One Crew)
During the pre-launch period, users may purchase early access membership ("Day One Crew") via kordiave.com:
- One-time purchase processed by Stripe
- Grants early access to the App and bonus Points at launch
- Day One Crew purchases are final and non-refundable
- This offering may be discontinued after the App's public launch
5. kordinator (Digital Avatar) System
5.1 kordinator Creation
kordi allows you to create a customizable digital character called a "kordinator" to represent yourself within the platform.
5.2 Ownership and License
- You retain ownership of your kordinator's unique configuration
- You grant us a non-exclusive, royalty-free license to display your kordinator within the Service
- All kordinator assets, templates, and items remain the intellectual property of RALLYO CONCEPTS LLC
5.3 Prohibited kordinator Content
Your kordinator may not:
- Impersonate real individuals without consent
- Display offensive, discriminatory, or inappropriate imagery
- Violate any third-party intellectual property rights
6. Community Conduct Guidelines
6.1 Expected Behavior
Users are expected to:
- Treat all community members with respect and courtesy
- Communicate honestly and constructively
- Honor commitments and attend events you've confirmed
- Provide accurate information about yourself and your activities
6.2 Prohibited Conduct
You may not:
- Harass, threaten, or intimidate other users
- Post or share content that is illegal, harmful, or offensive
- Engage in fraudulent activities or misrepresent your identity
- Manipulate the reliability score system or Points economy
- Spam, solicit, or engage in unauthorized commercial activities
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with the proper functioning of the Service
6.3 Reporting Violations
Users may report violations of these guidelines through the App. We will investigate reports and take appropriate action, which may include warnings, suspensions, or permanent bans.
7. User Safety and Background Checks
7.1 No Background Checks
kordi does not conduct criminal background checks, identity verification, or screenings of any kind on its users. We do not verify the identity, character, or background of any user. You acknowledge that other users may misrepresent themselves, their intentions, or their background.
7.2 Community-Driven Safety Model
Our safety model relies on community-driven tools and user participation:
- Group Administration: Group admins can approve or decline join requests
- Member Questionnaires: Admins may use built-in questionnaires to vet potential members
- Access Controls: Groups can be set to private or invite-only
- Moderation Roles: Admins can assign moderation responsibilities to trusted members
- User Reporting: All users can report violations for review
7.3 Your Responsibility for Personal Safety
You are solely responsible for your safety when interacting with other users. We encourage you to:
- Meet in public places for in-person events
- Inform friends or family of your plans
- Trust your instincts and leave situations that feel unsafe
- Use the in-app reporting tools for any concerns
- Exercise caution when sharing personal information
7.4 No Guarantee of Safety
kordi cannot and does not guarantee the conduct of any user. We disclaim all liability for any harm, damage, or loss arising from your interactions with other users, whether online or in person.
7.5 Relay (Community Assists)
7.5.1 Nature of Service
kordi's Relay feature enables users to request and offer community assistance ("Assists"), including but not limited to errands, deliveries, pickups, tasks, favors, and neighborhood help (snow removal, transportation, wellness checks, supply sharing, pet help, yard work, home help). Relay is a platform for connecting willing community members. kordi is not a staffing agency, employment service, contractor marketplace, or delivery service.
7.5.2 No Payment Facilitation
Relay operates on a free or appreciation-welcome basis only. kordi does not facilitate, process, or guarantee any monetary payment between users for Assists. Any tips, gifts, or appreciation exchanged between users occur outside the kordi platform and are the sole responsibility of the parties involved.
7.5.3 No Vetting or Certification
kordi does not vet, screen, certify, license, or endorse any user offering or requesting Assists. Users are not employees, contractors, or agents of kordi. Any representation of skill, availability, or reliability is made by the individual user, not by kordi.
7.5.4 Assumption of Risk
By using Relay, you acknowledge and agree that:
- You participate in Assists entirely at your own risk
- You are solely responsible for evaluating the suitability of any Assist request or offer before accepting
- Any property, keys, pets, or items you entrust to another user during an Assist is at your own risk
- You are responsible for carrying your own insurance (e.g., auto, homeowner's, renter's) as appropriate for any Assist you perform
- kordi recommends meeting in a safe location and informing someone you trust before performing or receiving an in-person Assist
7.5.5 Disclaimer of Liability
kordi is not responsible for:
- The quality, timeliness, safety, or completion of any Assist
- Any physical injury, illness, death, property damage, theft, or financial loss arising from an Assist
- The conduct, reliability, identity, or qualifications of any user offering or requesting Assists
- Any disputes between users regarding Assists
- Any violation of local, state, or federal laws by users performing Assists
7.6 Guides (Peer Mentoring)
7.6.1 Nature of Service
kordi's Guide feature connects users for peer-to-peer mentoring, knowledge sharing, and skill exchange ("Guide Sessions"). Guides are fellow community members sharing personal experience and perspective. Guides are not licensed professionals, certified experts, or employees or agents of kordi.
7.6.2 Not Professional Advice
Guide Sessions are informal peer interactions for general informational and motivational purposes only. Guidance, advice, or information shared during Guide Sessions is not professional advice and should not be treated as a substitute for advice from licensed professionals, including but not limited to:
- Licensed therapists, psychologists, or counselors
- Medical doctors or healthcare professionals
- Certified personal trainers or fitness professionals
- Licensed financial advisors or accountants
- Licensed attorneys or legal professionals
If you need professional advice, please consult a licensed practitioner in the relevant field.
7.6.3 Disclaimer of Liability
kordi is not responsible for:
- The accuracy, quality, completeness, or suitability of advice or guidance shared during Guide Sessions
- Any decisions you make based on Guide Session interactions
- Any harm, loss, or adverse outcome resulting from following guidance received during Guide Sessions
- The qualifications, credentials, background, or expertise of any Guide
- Any disputes between Guides and learners
8. Homemade Food Network
8.1 Compliance Acknowledgment
Users participating in the Homemade Food Network must:
- Acknowledge and comply with all applicable local, state, and federal food safety regulations
- Understand that kordi does not verify food safety certifications or compliance
- Accept full responsibility for any food they prepare, share, or consume
8.2 Cottage Food Laws
kordi supports cottage food operations in compliance with applicable US cottage food laws. Users are solely responsible for understanding and following the regulations in their jurisdiction.
8.3 Disclaimer of Liability
kordi is not responsible for:
- The quality, safety, or legality of any homemade food shared through the platform
- Any illness, injury, or damage resulting from food transactions
- Any disputes between users regarding food transactions
9. Privacy and Data Handling
9.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
9.2 Data Collection
We collect data necessary to provide and improve the Service, including:
- Account information (name, email, location)
- Activity data (events attended, goals completed, reliability metrics)
- Device and usage information
- Location data (when you opt in)
9.3 Data Controls
You have the right to:
- Access your personal data
- Request correction of inaccurate data
- Request deletion of your data (subject to legal retention requirements)
- Export your data in a portable format
- Control visibility settings for your profile and activities

9.4 State Privacy Rights
Your rights under applicable state privacy laws — including the right to access, correct, delete, and port your data, and to opt out of data sales, targeted advertising, and profiling — are detailed in our Privacy Policy. These rights are guaranteed by law and cannot be waived by agreement. For more information, see our Privacy Policy, Section 8.
9.5 AI Data Processing Consent
By using AI-powered features (including Ask kordi, event planning suggestions, goal milestone generation, and scheduling inference), you consent to the processing of your interaction data by our third-party AI service provider(s) as described in our Privacy Policy, Section 11. You may withdraw this consent at any time by disabling "AI-Powered Features" in Privacy & Security settings. Withdrawing consent will disable AI features but will not affect your use of other Service functionality.
10. Intellectual Property
10.1 kordi Property
All content, features, and functionality of the Service, including but not limited to:
- The kordi name, logo, and branding
- Software, code, and algorithms
- User interface designs and graphics
- kordinator templates, items, and assets
are owned by RALLYO CONCEPTS LLC and protected by intellectual property laws.
10.2 User Content
You retain ownership of content you create and share through the Service. By sharing content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content in connection with the Service.
10.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
10.4 DMCA and Copyright Infringement
RALLYO CONCEPTS LLC respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.
10.4.1 Filing a DMCA Takedown Notice
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement on the Service, please provide our designated agent with the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with enough detail for us to locate it on the Service
- Your contact information, including address, telephone number, and email address
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner
10.4.2 Counter-Notification
If you believe that your content was removed or disabled by mistake or misidentification, you may file a counter-notification with the following information:
- Your physical or electronic signature
- Identification of the material that was removed and the location where it appeared before removal
- A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification
- Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal courts in Indianapolis, Indiana
10.4.3 Designated Agent

10.4.4 Repeat Infringers
We will terminate the accounts of users who are determined to be repeat infringers. A repeat infringer is a user who has been notified of infringing activity more than twice and has not removed the infringing content.
11. Third-Party Services
11.1 Integrations
The Service may integrate with third-party services (e.g., calendar apps, fitness trackers, payment processors). Your use of these integrations is subject to the respective third-party terms and privacy policies.
11.2 Business Partners
Participating businesses that offer perks and discounts through kordi are independent entities. We are not responsible for:
- The quality of goods or services provided by business partners
- Any disputes between you and business partners
- Changes to or discontinuation of business partner offerings
12. Artificial Intelligence Features
12.1 AI-Generated Content
kordi uses third-party artificial intelligence services to power certain features, including but not limited to Ask kordi, event planning suggestions, goal milestone generation, and scheduling inference. You acknowledge and agree that:
- AI-generated responses are created by automated systems, not by human professionals
- AI outputs may be inaccurate, incomplete, or inappropriate despite safeguards
- You are solely responsible for evaluating and acting upon any AI-generated content
- We do not guarantee the accuracy, reliability, or suitability of AI-generated responses
12.2 Not Professional Advice
AI features within kordi, including Ask kordi, are informational tools for general motivational and organizational purposes only. Ask kordi is an automated assistant — not a coach, therapist, counselor, or professional advisor of any kind. AI-generated content is not a substitute for professional advice from licensed practitioners, including but not limited to licensed therapists, psychologists, or counselors; medical doctors or healthcare professionals; certified personal trainers or fitness professionals; licensed financial advisors or accountants; or licensed attorneys or legal professionals.
If you are experiencing a mental health crisis, please contact the 988 Suicide & Crisis Lifeline (call or text 988), the Crisis Text Line (text HOME to 741741), or your local emergency services. kordi's AI features are not designed or intended to provide crisis intervention.
12.3 Crisis Detection Limitations
kordi includes automated safety features designed to detect certain crisis-related language and redirect users to professional resources. These features operate on a best-effort basis. We do not guarantee that all crisis situations will be detected.
12.4 Third-Party AI Providers
AI features are powered by third-party AI service providers. Your interactions with AI features may be processed by these third-party services in accordance with their respective terms and privacy policies. See our Privacy Policy for details.
12.5 AI Transparency Disclosure
In accordance with applicable state AI disclosure laws, including the Colorado Artificial Intelligence Act (effective February 2026), we disclose the following: kordi uses automated artificial intelligence systems for informational assistance, scheduling suggestions, goal milestone generation, and community search. These AI systems process your data to generate personalized informational outputs only. AI-generated outputs are recommendations and do not constitute decisions that produce legal or similarly significant effects on you. AI features do not determine your eligibility for employment, financial services, healthcare, housing, insurance, education, or any other consequential decision. You have the right to opt out of AI-powered features at any time through Privacy & Security settings.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
- THE IDENTITY, BACKGROUND, OR CHARACTER OF ANY USER
- THE SAFETY OF IN-PERSON MEETINGS OR EVENTS
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLYO CONCEPTS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- ANY LOSS OF PROFITS, DATA, OR GOODWILL
- ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
- ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
- ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- ANY DAMAGES ARISING FROM INTERACTIONS WITH OTHER USERS
- ANY DAMAGES FROM IN-PERSON MEETINGS ARRANGED THROUGH THE SERVICE
15. Indemnification
You agree to indemnify, defend, and hold harmless RALLYO CONCEPTS LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you create or share through the Service
16. Termination
16.1 Termination by You
You may terminate your account at any time through the App settings or by contacting support.
16.2 Termination by Us
We may suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Extended inactivity
- Technical or security reasons
16.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your Points balance will be forfeited
- Your kordinator and associated data may be deleted
- Certain provisions of these Terms will survive termination
17. Dispute Resolution
17.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally within thirty (30) days.
17.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Indianapolis, Indiana, and the decision shall be final and binding.
17.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
17.4 Exceptions
This arbitration agreement does not apply to:
- Claims for injunctive or equitable relief
- Claims related to intellectual property
- Small claims court matters
17.5 Preservation of Statutory Rights
Nothing in this Section 17, including the arbitration agreement and class action waiver, shall be construed to prevent you from exercising any rights guaranteed under applicable state or federal privacy laws. You retain the right to file a complaint with your state Attorney General regarding privacy law violations, regardless of the arbitration provisions in this agreement.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RALLYO CONCEPTS LLC regarding the Service.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
19.4 Assignment
You may not assign your rights or obligations under these Terms. We may assign our rights and obligations without restriction.
19.5 Force Majeure
We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
